Lurie Children’s Taste Buds Terms of Participation

By participating in Lurie Children’s Taste Buds, you agree to the following:

A community fundraising event or initiative (referred to as "Event" herein) should complement the mission and image of Ann & Robert H. Lurie Children's Hospital of Chicago and its corporate affiliates ("Lurie Children's"). All Events that benefit Lurie Children's must be approved by Ann & Robert H. Lurie Children's Hospital of Chicago Foundation ("Foundation") and are subject to these Community Fundraising Terms and Conditions.

Lurie Children's may change these Community Fundraising Terms and Conditions at any time without notice, and such changes will be effective immediately. For purposes of these Community Fundraising Terms and Conditions, "you" means the Organizer, organization, group, or individual sponsoring, promoting, or holding the Event. "We" or "our" means Lurie Children's.

By hosting, organizing, sponsoring, promoting, or otherwise assisting to carry off an Event benefiting Lurie Children's, you, the Organizer, accepts the following Community Fundraising Terms and Conditions.

EVENT APPROVAL:

- Lurie Children's reserves the right to request additional information prior to approval.
- Organizer must complete and submit the application no less than 48 hours prior to the Event.
- Organizer must immediately notify Lurie Children's in writing if there are any material changes to the Event once it has been approved.
- Lurie Children's reserves the right to observe the Event.
- Lurie Children's will not plan or provide staffing for the Event on your behalf but offer best practices and templates.
- Lurie Children's will not solicit its donors, patients/patient families, and staff on your behalf. Due to privacy laws and confidentiality commitments, Lurie Children's will not release patient, family, donor, board, volunteer, employee, staff, physician or other business information to Organizer for the purposes of solicitation of funds or participation in the Event.
- Lurie Children's reserves the right to decline or withdraw as beneficiary of the fundraising event or initiative at any time for any reason, including but not limited to situations in which there is an actual or perceived conflict of interest or the Event may have a negative effect on the image of Lurie Children's, as determined in Lurie Children's sole discretion.
- If circumstances warrant, Lurie Children's may, at any time and for any reason, direct you to cancel the Event, and you further agree to release Lurie Children's, its officers, directors, and employees from any and all liability in connection with any such action.

LIMITED LICENSE:

- Event organizer is granted a nonexclusive, nontransferable, limited license to use Lurie Children's logos and names ("Intellectual Property) in connection with the Event, as defined in this provision.
- Lurie Children's Intellectual Property must be used in accordance with the established brand identity guidelines, incorporated herein, and approved by the Foundation before distribution to the public, and such approval will not be unreasonably withheld. Lurie Children's may only be identified as the beneficiary of the event. (For example, your fundraiser cannot be called "Lurie Children's Golf Outing." Rather, the fundraiser should be promoted as "Golf Outing benefitting Lurie Children's").
- An Event is allowed to use the name or "Benefitting" logo prior to and sixty (60) days after the Event has been approved as permitted by Lurie Children's.
- Except as permitted under a separate written authorization from Lurie Children's, Organizer shall not use the Intellectual Property for any other purpose.
- Organizer may not state or imply that it is an agent, subsidiary or partner of Lurie Children's, or that you hold any other business relationship with Lurie Children's.
- Organizer may only commence marketing, publicity and advertising efforts after Lurie Children's has provided our prior written approval of your marketing and promotional materials. Lurie Children's is not responsible for marketing, publicity and advertising efforts related to the Event. Lurie Children's may promote Event in its sole discretion.
- If you are creating a website for your fundraising event or initiative other than a page on luriechildrens.org/fundraise, you may not use any variation of Lurie Children's Intellectual Property in the URL and you must consult a Foundation staff member and obtain approval before creating the website.

INTERNAL REVENUE SERVICE ("IRS") COMPLIANCE:

- Organizer acknowledges that certain raffle winnings are subject to additional IRS reporting or other requirements.
- Lurie Children's will issue IRS compliant charitable tax receipts to the full extent of the law (per IRS publication 1771) only if a donation is made payable directly to Lurie Children's along with detailed contact information of the donor.
- When advertising any items in a silent or live auction Organizer must display the fair market value. No items can be valued as "priceless" because the donor will not be eligible for a tax receipt. Lurie Children's will issue an IRS-compliant tax receipt for the donation in the amount paid beyond the fair market value and if payment is made payable directly to Lurie Children's.
- A private foundation cannot purchase tickets to a fundraising event where there is a benefit received. Organizer acknowledges that the IRS has ruled against bifurcation of a ticket and thus, the private foundation may not split up the cost of the ticket whereby the user of the ticket pays for the value of the tangible benefit and the foundation pays for the balance.

FINANCIAL TERMS:

- Foundation strives to maintain fundraising costs at 20 percent or less of the total income of an Event and encourages the Organizer to adhering to this standard.
- Event participants and/or supporters will be clearly notified that the net proceeds of the Event will be given to Lurie Children's. If Lurie Children's is not the sole beneficiary of the Event, it must be stated clearly on Event materials the exact percentage the hospital will receive.
- All checks from Event proceeds must be made payable to "Ann & Robert H. Lurie Children's Hospital of Chicago Foundation" or "Lurie Children's Foundation." Checks made payable to Lurie Children's must be processed by Foundation staff and not by any external banks or financial institutions. Proceeds should be sent to:

- Organizer must provide the Foundation with the net proceeds of the Event within thirty (30) days from the date of the Event.
- Any expenses that are incurred to run the Event will be reasonable and transparent. Any expenses incurred in hosting the Event are the responsibility of the Organizer.
- Lurie Children's and the Foundation are not responsible for any losses incurred in hosting the Event.
- Organizer may not keep or use any portion of the proceeds as profit or compensation for organizing the event.
- Organizer agrees that you will not represent to the public that Organizer enjoys any tax exempt rights or privileges as a result of your role in the Event (unless you have separate tax exempt status).
- Because of Lurie Children's responsibility as the recipient of community assets, we reserve the right to audit and inspect all Event records if any questions are raised about your Event.

PERMITS AND INSURANCE:

The organization and execution of the Event is the responsibility of the Organizer. The Organizer must obtain any necessary permits, associated insurance policies, and/or any necessary licenses. Specifically, Organizer shall obtain any required license to conduct any charitable gambling activity or "game of chance" in Illinois, including raffles and "Las Vegas night" events. Organizer may be required to obtain its own liability insurance to cover the Event and all other insurance including premises liability and worker's compensation.

INDEMNIFICATION:

Organizer releases and holds Lurie Children's and the Foundation, and their respective employees, staff, officers, and directors, harmless against any and all claims, demands, losses, costs, expenses, obligations, liabilities damages, recoveries and deficiencies, including interests, penalties and reasonable attorney's fees that shall be incurred or suffered by Lurie Children's and the Foundation, which arise, result from or relate to the Event, Organizer's performance of these Community Fundraising Terms and Conditions.

PUBLIC HEALTH COMMITMENT:

Organizer shall follow all applicable local, state and federal public health guidelines for large gatherings and events. Organizer acknowledges that Lurie Children's recommends all Organizers follow the Center for Disease Control (CDC) considerations for events and gatherings to enhance protection of individuals and communities and prevent the spread of coronavirus disease 2019 (COVID-19): https://www.cdc.gov/coronavirus/2019-ncov/community/large-events/index.html.

APPLICABLE LAW:

Organizer must abide by any and all applicable law. Events must comply with all federal, state and local laws governing charitable fundraising and gift reporting. Specifically, Organizer must adhere to any applicable requirements of Illinois' Solicitation for Charity Act, found at 225 ILCS 460, including making any required registrations and reporting with the Illinois Attorney General. Organizer will familiarize itself with the State of Illinois' and local governments' regulations governing raffles and gaming events for charitable purposes.

MEDIA RELEASE:

In consideration of my participation in fundraising on behalf of Lurie Children's, and by checking the box below, on behalf of myself or as the legal representative of the organizer, I also grant full permission to any and all of the foregoing to use and reproduce my image or likeness by any audio and/or visual recording technique (including electronic/digital) now in existence or hereafter invented, for any legitimate purpose, including commercial sales, social media, and marketing purposes.
